Terms of Service

This is a working draft for review.

It describes what the product actually does — including placing orders in a customer's brokerage account — so that legal counsel has an accurate starting point. Bracketed notes flag decisions counsel needs to make.

The English version of these terms governs. Other languages are provided for convenience.

1. Agreement to these terms

By creating an account or using Investo.AI, you agree to these terms. If you do not agree, do not use the service.

These terms are between you and Investo.AI Inc. ("Investo.AI", "we", "us").

2. What Investo.AI is, and what it is not

Investo.AI publishes a rule. The rule reads market conditions each trading day and produces an amount to invest in an index. We publish the amount. That is what the service does.

We are not a registered investment adviser. We do not provide personalised investment recommendations or manage customer funds.

The rule is the same for everyone. Whether it suits you is your decision, and it is a decision we cannot make for you.

3. Who can use the service

You must be 18 or older, capable of entering a binding contract, and not previously removed from the service.

For counsel — the product is published in English and Simplified Chinese, which implies customers outside the United States. Eligibility by jurisdiction needs to be defined — where may this service be offered?

4. Your account

You are responsible for keeping your password secure and for what happens under your account. Tell us immediately if you suspect unauthorised access.

Give us accurate information and keep it current. A signal sent to an old email address is still a signal delivered.

5. Free and paid

A free account is permanent. It gives you research tools and lets you follow up to eight companies. It does not include daily signals or the option to connect a brokerage account.

A paid subscription adds daily signals, unlimited followed companies, and the option to connect Charles Schwab for automated orders.

We may change what each tier includes. If a change removes something you are paying for, we will tell you before your next billing cycle.

6. Trial, subscription and billing

The subscription costs [amount] a month.

A new subscriber gets a seven-day trial. A card is required at sign-up. The first charge is taken on the eighth day unless cancelled before then.

Someone who joins through a referral link gets their first month free instead.

For counsel — confirm whether the card is still taken at sign-up in that case, and when the first charge falls.

Billing renews monthly until cancelled. You can cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period.

For counsel — refund policy is not defined. A five-day cancellation window with a full refund is a regulatory requirement for advisory contracts and does not apply here. What refund policy does the client want?

We may change the price with notice. If you do not accept a new price, cancel before it takes effect.

7. Referrals

  • Both of you get a free month.

  • Your friend gets their first month free.

  • You get a free month once they subscribe.

  • There is no limit to how many months you can earn.

  • Months already earned are never taken back.

  • Earned months are applied to your next invoice.

A free account cannot earn referral credit — there is no subscription to credit.

We may end or change the referral programme with notice. Credit already earned is not withdrawn.

8. The signal

On each trading day we send a signal by the channel you choose — email, Telegram, or both.

We aim to send it at 3:45 PM Eastern Time. We do not guarantee that it arrives, that it arrives on time, or that market conditions permit an order to be placed.

If a signal does not arrive, the amount it would have carried is not owed to you and no order is placed.

9. Connecting a brokerage account

Connecting is optional. Signals work without it.

What you authorise. When you connect Charles Schwab and switch Auto-Trade on, you authorise us to place buy orders in your Schwab account, for the index you have chosen, at the amount the rule produces, on each trading day.

What we cannot do. We cannot withdraw money, transfer money, sell anything, trade anything other than the index you chose, or change your plan. We do not hold your money or your shares.

Re-authorisation. Schwab's authorisation lasts seven days. We will tell you before it lapses. If it lapses, Auto-Trade stops and no orders are placed until you reconnect. Signals continue regardless.

When orders fail. An order may not be placed for reasons outside our control — insufficient funds, a Schwab outage, a restriction on your account, or a market condition. We will tell you if an order fails, but we cannot place it once the trading day has closed.

Disconnecting. You can disconnect at any time. Auto-Trade stops immediately.

Your responsibility. You are responsible for the funds in your account and for the orders placed under this authorisation. If an order is placed that you did not expect, contact Charles Schwab directly.

For counsel — the limits of liability for orders placed under this authorisation are the heaviest question in this document and are not drafted here. The product's behaviour is described accurately above for counsel to frame.

10. Backtested figures

Some pages show figures from historical testing. Those figures are hypothetical. The rule was not actually running during the periods shown, and results do not reflect actual trading.

Past performance does not guarantee future results. All investing involves risk, including the loss of principal.

11. Acceptable use

Do not attempt to access accounts that are not yours, disrupt the service, scrape it, reverse-engineer it, or resell the signals.

We may investigate and act on breaches, including suspending accounts.

12. Our content

The service, its design, its code and its content belong to us. You may use it for your own purposes, but you may not copy, redistribute or commercialise it.

Market data shown in the product comes from third-party providers and belongs to them.

13. Privacy

Our Privacy Policy explains what we collect and why, and forms part of these terms.

14. Third parties

The service depends on third parties — Charles Schwab, Stripe, Telegram, our email provider and our market data providers.

We are not responsible for their availability, their conduct, or their fees.

15. Disclaimers

The service is provided as it is. We do not warrant that it will be uninterrupted, error-free or always available.

We do not warrant that following the rule will produce any particular outcome. It may lose money.

16. Limitation of liability

For counsel — this section is a placeholder. The structure below follows common practice — a cap tied to fees paid, with carve-outs — but the figures, the carve-outs and what may lawfully be excluded under relevant law must be drafted by counsel.

To the extent the law allows, we are not liable for indirect or consequential loss.

Our total liability is capped at [amount or formula].

Nothing here limits liability that cannot lawfully be limited.

17. Suspension and termination

You can close your account at any time.

We may suspend or close an account that breaches these terms, that we are required to act on by law, or where we decide to withdraw the service with notice.

If your account closes, any brokerage connection is removed and Auto-Trade stops. Records of orders already placed remain with your broker.

Sections on content, acceptable use, disclaimers, liability and disputes survive termination.

18. Changes to these terms

We may change these terms. We will post the change here with a new date, and tell you by email if it is material.

19. Disputes, governing law and contact

For counsel — governing law, jurisdiction, and whether to include an arbitration clause and class-action waiver are not drafted here. The reference product uses Delaware law with AAA arbitration. Counsel to decide.
